Independent Contractor's Agreement Please read the terms below and select the checkbox next to each clause, indicating that you agree to each term.
Capacity / Independent Contractor (I agree) It is understood that the undersigned is an independent contractor and not an employee of Norton National, LLC and that the individual shall have the exclusive control over the means, methods and details of fulfilling his or her obligation as an independent contractor.
(I agree) It is understood that Norton National, LLC will assume no responsibility for your medical expenses during or after the term of this freelance assignment, as you are not an employee of Norton National, LLC. You understand that Norton National, LLC is acting as a broker/agent for the negotiating of jobs, rates, and payments for special events, promotions, trade shows, conventions and staffing.
(I agree) The undersigned assumes all responsibility for withholding tax, social security, state and city tax, public liability and workman’s compensation insurance.
Governing Law (I agree) As an independent contractor, you will comply with all federal, state, and local laws requiring drivers and other licenses, business permits, and certificates required to carry out the services to be performed under this agreement.
Insurance Coverage (I agree) As an independent contractor, you understand that Norton National, LLC shall not provide insurance coverage of any kind for you. You shall obtain the following insurance coverage and maintain it during the entire term of this agreement:
(I agree) Automobile liability insurance for each vehicle used in the performance of this agreement -- including owned, non-owned, leased, or hired vehicles -- in the minimum amount of $250,000 combined single limit per occurrence for bodily injury and property damage.
(I agree) Comprehensive or commercial general liability insurance coverage in the minimum amount of $500,000 combined single limit, including coverage for bodily injury, personal injury, broad form property damage, contractual liability, and cross-liability.
(I agree) Before commencing any work, you understand that you must be able to provide Norton National, LLC with proof of this insurance. Although Norton National, LLC may not request for it upfront, proof of this coverage must be available in the event it is requested for.
Liability (I agree) For and in consideration of your engagement as an independent contractor, you hereby release, discharge and agree to save harmless, Norton National, LLC or any representative of Norton National, LLC from and against any liability as a result of any physical impairment or loss during the contractual agreement. You shall indemnify and hold Norton National, LLC harmless from any loss or liability arising from performing services under this agreement.
Compensation (I agree) You understand that as an acting broker/agent on your behalf that Norton National, LLC makes a profit and that if you accept a booking from Norton National, LLC and you do not show up on the day of your event, you will be assessed and billed a fee of $75.00. If an emergency does occur, Norton National, LLC requires a legitimate note prior to the start of your event for the excuse (Doctor, Court Notice, or Funeral). Communication from you (independent contractor) is required to be made clear to Norton National, LLC on the day of the event. A text message the morning of the assignment will not be tolerated, nor will the excuse of another job be able to compromise your booked time.
(I agree) You understand that another individual cannot be paid on your behalf for the work you have completed unless otherwise stated by Norton National, LLC.
(I agree) You understand that the rate that you are quoted is after professional fees.
(I agree) You understand that no contracted payment will be released to you without full completion of Norton National, LLC required contractor paperwork and any proof of performance (as requested) has been delivered to Norton National, LLC.
(I agree) As an independent contractor, you understand that Norton National, LLC may require an invoice for specific services and may withhold payment until the invoice has been received.
(I agree) As an independent contractor, you understand that you are not to discuss payment terms/rates with anyone other than a Norton National, LLC employee. Failure to comply with this procedure will result in termination from the event.
(I agree) As an independent contractor, you are paid for actual hours worked and all is verified through the clients' timesheet. The timesheet Norton National, LLC provides to you as an independent contractor serves as an invoice for the actual hours you have worked. Upon receipt of your ‘invoice’, Norton National, LLC will review the timesheet and once it is approved by the client, you will be paid for the approved hours. Any hours worked over “PAID HOURS APPROVED” or expenses incurred (parking fees, tolls, etc.) must be authorized by your onsite contact. Norton National, LLC will verify/confirm all changes with the client following the event. There is no guarantee of reimbursement for time and/or expenses incurred outside of designated assignments.
(I agree) You understand that if you (independent contractor) do not tell a booking agent that your address has changed and a check has been sent, then you (independent contractor) are responsible for the stop payment fee of $35.00. You also understand that if you do not fill out your paperwork to include the correct mailing address and a check is lost, then you (independent contractor) are also responsible for the stop payment fee of $35.00. It is the independent contractor's responsibility to inform Norton National, LLC of any changes in their personal information.
(I agree) You understand Norton National, LLC issues payment via company check only. You also understand that there can be and maybe a delay in payment depending on the USPS and its timing. If you (independent contractor) request for a new check to be issued within 3 weeks of payment mail date, and the address is confirmed, it is the responsibility of you (independent contractor) to pay for stop payment of $35 to receive a new check. Norton National, LLC issues payments on the 2nd and 4th Friday of every month UNLESS otherwise specified by Norton National, LLC. Norton National, LLC has company policies and procedures in place for payment.
(I agree) As an independent contractor, you understand that if you walk off from the job and do not return for the single day, or duration of dates, you as the independent contractor, will be docked 2 hours of your hourly rate or 25% of your day rate. Lastly, if you arrive after call time, for each additional quarter of an hour (15 minutes), there is a $1.00 deduction from your hourly and/or overall pay.
Expenses (I agree) As an independent contractor, you are responsible for furnishing all vehicles, equipment, tools, and materials used to provide the services unless otherwise noted.
(I agree) As an independent contractor, you are responsible for all travel expenses, unless otherwise noted.
(I agree) You understand that parking is not always provided at events. When parking is provided, you will receive parking guidelines via email. You understand that it is your responsibility to review these guidelines and instructions. If you fail to follow these guidelines and end up paying for parking, Norton National, LLC will not reimburse you.
Termination (I agree) Neither party shall be liable to the other party for the failure to perform any of the terms and conditions of this agreement when such failure is attributable to and caused by an Act of God, government rules, regulations or actions, severe weather conditions, declaration of a national or state emergency, etc.) or by any other circumstances (including, but not limited to war, strikes, riots and/or civil disorder, and fire) not under the control of such party.
Dismissal (I agree) As an independent contractor, if you are consuming alcohol, marijuana or tobacco products (including and not limited to, vaping, chew, cigarettes) while on-site in the client's wardrobe, you will be terminated immediately. Exceptions will be made for events requiring the consumption of any of the aforementioned substances as part of the activation.
(I agree) As an independent contractor, you understand that you can be dismissed on the spot without pay for violating the Standards of Conduct.
(I agree) You understand that you must have a valid government-issued photo ID with you at the event in order to perform your duties. Failure to show a valid government-issued photo ID may result in your dismissal without pay.
(I agree) You understand that if a uniform is required, you must wear it for the duration of the event. Failure to dress in the requested attire may result in your dismissal without pay.
Non-Solicitation (I agree) You understand that you are not allowed to contact or solicit yourself, to the client directly, unless authorized by an agent from Norton National, LLC. Any and all solicitation will result in penalization of the agency, at their sole digression. If caught, while still on working hours of a contracted job by Norton National, LLC, you understand that you are responsible for allocating the cost for a booking fee back to Norton National, LLC from the new event at hand.
Authorization to Work (I agree) You understand that for all jobs completed in the US, you must have a Social Security number or TIN to receive payment. Another individual cannot receive your wages if you do not have an SSN or TIN.
(I agree) You are fully authorized to work in the country that the service is being provided.
Communication (I agree) You understand that all questions concerning accounting will be answered Monday through Friday from the office. The offices of Norton National, LLC are on Pacific Standard Time.
(I agree) You understand Norton National, LLC’s primary means of communication is email and therefore you (independent contractor) must have an email on file. You may not use someone else’s email address.
Titles / Headings (I agree) You understand that headings are inserted for the convenience of the parties only and are not to be considered when interpreting this agreement.
Severability (I agree) You understand that in the event that any of the provisions of this agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this agreement.
Signature By signing below, I agree that I am at least 18 years old and competent to contract in my own name in so far the above concerned. I have read the foregoing agreement in its entirety and release before affixing my signature below, and warrant that I fully understand the contents thereof.
